APEX POWER AUCTIONS
Buyer & Auction Terms
Terms for online auction purchases marketed through Apex Power Auctions. These auction terms do not govern direct sales, sourcing, or appraisals, which require separate agreed terms.
Notice: All bidders and other persons attending auction sales agree that they have read and have full knowledge of these terms and agree to be bound by them.
1. Auction parties and registration
Apex Power Auctions is the brand used on this website. “Seller” means the owner consigning the equipment. “Auction Administrator” means A2C Auctions, the auction operator for auctions marketed through Apex Power Auctions. The applicable auction documents must identify the contracting parties and their respective responsibilities. These terms do not identify Apex Power Auctions as a separate legal entity, payment recipient, or marketplace facilitator.
To register, open the approved auction directory on BidSpotter and select the auction you wish to participate in. Follow the registration instructions for that auction. Existing BidSpotter users can sign in; new users must create an account and provide the required contact information. Registration and approval confirmations are provided through the applicable auction’s registration process. Bidder approval is the responsibility of the Auction Administrator.
Bidders are encouraged to register at least 48 hours before the sale to avoid registration issues.
2. Payment and buyer’s premium
Items must be paid in full upon receipt of the invoice. A buyer’s premium is added to the final hammer price and charged to the successful bidder. Rates may vary by auction.
A buyer’s premium of 14.5% for online bidders will be applied to your invoice in addition to the hammer price. Sales tax will be charged on the total purchase price, including the buyer’s premium. The buyer’s premium may change with each auction. Always refer to the specific auction terms.
Business and personal checks will not be accepted without a bank letter of guarantee. See Section 6 for payment instructions and release requirements.
3. Taxes and exemption documentation
Prices do not include federal, state, or local taxes, which are in addition to the purchase price and must be paid by the purchaser. Sales tax is calculated after the auction based on the lot location.
Companies claiming tax exemption must have valid exemption documentation on file with the party responsible for tax collection before the auction. Otherwise, they are responsible for seeking any available refund from the applicable state. Failure to invoice taxes does not relieve the purchaser of responsibility for payment.
Contact Apex Power Auctions before payment to confirm the documentation, recipient, and submission instructions for your transaction. See Sales Tax Exemptions. Do not attach tax certificates to a general inquiry. The party responsible for collecting and remitting taxes must be identified in the transaction documents; that role is not established by the Apex Power Auctions brand.
4. Removal
Removal deadlines are listed with each auction. All items must be removed by the specified date and time. Items remaining after the deadline will be considered abandoned.
5. Removal liability
Removal is at the purchaser’s expense, risk, and liability. A certificate of insurance may be required for riggers or anyone using powered vehicles. Contact Apex Power Auctions to confirm the insurance requirements and removal contact for the specific auction. Loading and rigging assistance is not included.
6. Payment instructions
Follow the payment instructions provided on the applicable invoice. Payment must be received in full before equipment is released.
7. Issuance of titles
Titles for titled assets will be mailed to the purchaser’s address on file once payment has cleared. The transaction documents must identify the party responsible for delivering title. These terms do not state that Apex Power Auctions owns the equipment or takes title to it.
8. Condition of articles sold
All lots are sold “AS-IS, WHERE-IS” with no warranties of any kind.
Neither the Auction Administrator nor the Seller is responsible for description, genuineness, authenticity, or defects. No inspection of lots by the Auction Administrator is included, and no guarantees are made regarding condition, operability, or safety. The purchaser assumes all responsibility for inspection and accepts all risks.
9. Safety devices
Purchased articles may not include required safety devices or guards. It is the purchaser’s sole responsibility to ensure compliance with OSHA and all other applicable regulations before use.
10. Indemnification
The purchaser shall defend, indemnify, and hold harmless the Auction Administrator, including its affiliates, officers, directors, employees, and agents, and the Seller from claims, liabilities, or damages arising from the condition, removal, or use of purchased items or failure to comply with applicable laws.
11. Claims
No claims will be allowed after goods are removed or after the removal deadline has passed.
12. Responsibility for non-delivery
The Auction Administrator’s sole liability for inability to deliver a lot is the return of amounts paid for that lot. The Auction Administrator may withdraw or add lots, end auctions, or extend auctions without notice.
The applicable auction documents must identify the party responsible for issuing any refund. This provision does not identify Apex Power Auctions as the recipient or holder of purchase funds.
13. Compliance with terms and default
Winning bidders are contractually obligated to pay for and remove items by the stated deadlines. Failure to do so places the purchaser in default. Upon default, the purchaser forfeits all rights to the property, and the Auction Administrator may resell the items.
Defaulting purchasers will be charged a cancellation fee of 24.5% of the purchase price and remain liable for any deficiency, resale costs, storage, rigging, legal fees, and other expenses.
14. Risk to person and property
Persons attending a preview, sale, or removal assume all risks of damage or loss to person and property and release the Auction Administrator and the Seller from liability.
15. Addition to or withdrawal from sale
The Auction Administrator reserves the right to add, withdraw, group, or subdivide lots at any time.
16. Bidding
The Auction Administrator reserves the right to reject any bid, set reserves whether disclosed or not, bid on behalf of the Seller up to the reserve, control bidding increments, and deny bidding privileges without explanation.
Collusion or fraudulent bidding is prohibited. No returns or refunds are allowed unless expressly authorized in writing by the Seller.
17. Records
The Auction Administrator’s record of sale is final in case of dispute.
18. Relationship of the parties
Any appointment to act as the Seller’s agent, authority to collect funds, or limitation of responsibility for the Seller’s acts must be set out in the applicable auction agreement. These terms do not establish an agency relationship or marketplace-facilitator status for Apex Power Auctions.
19. Governing law and amendments
These terms and auction sales are governed by the laws of the State of Illinois. The Auction Administrator may amend these terms at any time without notice. It is the bidder’s responsibility to review them for each auction.
20. Force majeure
The Auction Administrator shall not be liable for failure to perform due to causes beyond its reasonable control, including acts of God, war, terrorism, strikes, epidemics, power or internet failures, or natural disasters.
21. Software and website disclaimers
The auction website and online bidding platforms are provided “AS-IS.” The Auction Administrator is not liable for interruptions, errors, lost bids, or damages arising from use of the auction website or bidding software. All bidding over the internet is at the bidder’s own risk.
By registering and bidding, you acknowledge that you have read, understood, and agree to be bound by these auction terms.
APEX POWER AUCTIONS
Seller Terms
Terms for consigning equipment to auctions marketed through Apex Power Auctions. These auction terms do not govern direct sales, sourcing, or appraisals, which require separate agreed terms.
Notice: All sellers consigning items to an auction covered by these terms agree that they have read and have full knowledge of these terms and agree to be bound by them.
1. Auction parties and responsibilities
Apex Power Auctions is the brand used on this website. “Seller” means the owner consigning the equipment. “Auction Administrator” means A2C Auctions, the auction operator for auctions marketed through Apex Power Auctions.
The consignment agreement must identify the contracting parties, any agency appointment, the party authorized to collect buyer payments, the party responsible for paying the Seller, and any agreed allocation of liability for the acts of buyers or sellers. These terms do not identify Apex Power Auctions as a separate legal entity or marketplace facilitator, or establish that it receives or holds transaction funds.
These terms do not transfer ownership or title to Apex Power Auctions. The Seller’s title and transfer obligations are set out in Section 3 and Section 7.
2. Seller’s fee
A seller’s fee of 10% of the final hammer price for each lot sold at auction will be deducted from the proceeds payable to the Seller. The party entitled to the fee must be identified in the consignment agreement.
The final hammer price does not include the buyer’s premium or any applicable taxes, which are the buyer’s responsibility.
3. Obligation to proceed with sale
Sellers are legally obligated to proceed with the sale of any lot that receives bids meeting or exceeding the reserve price, if a reserve has been set, or any valid bid if no reserve is set, once the auction has concluded.
Upon conclusion of the auction, the sale is binding, and the Seller must transfer clear title and possession of the item to the winning bidder in accordance with the auction terms.
4. Reserve price adjustments
Sellers may set a reserve price before the auction starts. Reserve prices may be lowered during the auction at the Seller’s request and with approval from the Auction Administrator. Reserve prices cannot be increased after the auction begins.
Any approved downward adjustment applies only to bids placed after the adjustment takes effect and does not retroactively make prior bids winning bids.
5. Cancellation by Seller
If a Seller withdraws or refuses to complete a binding sale after the auction has concluded and the lot has met or exceeded reserve, or received any valid bid if no reserve is set, the Seller will be charged a cancellation fee of 24.5% of the final hammer price. The party entitled to that fee must be identified in the consignment agreement.
Sellers may not cancel or withdraw a lot within 48 hours of the scheduled auction close. Any attempt to do so automatically triggers the 24.5% cancellation fee.
However, if payment has not been remitted to the Seller within three (3) weeks of auction close, the Seller may withdraw the lot without penalty or fee. See Section 8.
6. Non-exclusivity
These auction terms do not impose exclusivity. Sellers may sell items outside the auction at any time without a fee, provided those sales do not interfere with lots already consigned to an active auction and do not violate the 48-hour no-cancellation rule in Section 5.
7. Seller responsibilities
Sellers are solely responsible for providing accurate descriptions, photographs, condition reports, titles, and other documentation. No inspection or verification of condition, authenticity, operability, or safety by the Auction Administrator is included, and the Auction Administrator makes no warranties.
Sellers warrant that all items are free of liens, encumbrances, or claims that would prevent transfer of clear title.
Unless explicitly listed as “AS-IS, WHERE-IS,” sellers are responsible for repairing, replacing, or refunding any item that does not match its description or is not in working condition, and for any return shipping costs incurred by the buyer.
8. Payment to sellers
Net proceeds, consisting of the hammer price less the 10% seller’s fee and any other authorized deductions, will be remitted to the Seller within three (3) weeks after auction close and once buyer payment has cleared. The consignment agreement must identify the party responsible for collecting funds and paying the Seller.
The Auction Administrator is not liable for buyer non-payment. In the event of buyer default, the Auction Administrator will pursue remedies under Section 13 of the Buyer & Auction Terms and, at its option, return the lot to the Seller. If payment is not received by the Seller within three (3) weeks, the Seller may withdraw the lot without penalty; see Section 5.
Follow the payment instructions provided on the applicable invoice. Payment must be received in full before equipment is released.
9. Indemnification
Sellers shall defend, indemnify, and hold harmless the Auction Administrator, including its affiliates, directors, officers, employees, agents, and partners, and the buyer from claims, losses, damages, liabilities, judgments, fees, and expenses arising from the condition, description, authenticity, title, or use of consigned items, or from the Seller’s breach of these terms.
This indemnification survives the auction and any subsequent transfer of the goods.
10. Governing law and amendments
These seller terms are governed by the laws of the State of Illinois. The Auction Administrator reserves the right to amend these terms at any time without prior notice. It is the Seller’s responsibility to review the current terms before consigning items.
11. Force majeure
The Auction Administrator shall not be liable for failure to perform an obligation under these terms if the failure results from events beyond its reasonable control, including strikes, war, terrorism, epidemics, power or internet outages, natural disasters, or acts of God.
12. Software and website disclaimers
The auction website and online platforms are provided “AS-IS.” The Auction Administrator is not responsible for losses caused by software or website malfunctions, interruptions, or internet issues.
Under no circumstances shall the Auction Administrator be liable for direct, indirect, incidental, punitive, or consequential damages arising from the use or inability to use the auction website or bidding software.
By consigning items to an auction covered by these terms, you acknowledge that you have read, understood, and agree to be bound by these seller terms.
